Corporate Secretary
JOB DESCRIPTION
To support the Board of Directors with corporate governance and regulatory requirements, and to assist with day-to-day executive administrative duties
ROLES AND RESPONSIBILITIES
Provide support for all aspects of board and committee meetings, including circulating notices and agendas, handling logistics, attending meetings, and preparing and recording minutes
Set annual and special shareholder meetings and assist in preparation of all associated meeting materials
Create board resolutions
Monitor and carry out all regulatory filings based on issuer’s year-end and stock exchange regulation
Provide general board assistance and guidance
Maintain corporate records
Maintain option and warrant registers
QUALIFICATIONS
Previous experience providing administrative support for Board and Committee processes and activities would be an asset.
Familiarity with CSE, TSXV and TSX policies and filing requirement
Familiarity with provincial securities instruments, rules and policies
Ability to allocate time effectively, work under pressure and manage tight deadlines; ability to handle multiple demands, competing priorities and adapt to new ideas
Ability to perform general administration duties, and oversee office workflow
Ability to communicate effectively, both oral and written; ability to exercise confidentiality. Advanced computer skills, specifically Microsoft Office and Excel and Cloud-based file storage
Ability to work independently, and remotely (in current Covid-19 climate)
Organized and efficient with time-management
Preference will be given to those with previous corporate secretarial experience and those with Securities para legal or legal background
